MONTH-TO-MONTH WEB SERVICES AGREEMENT (Version 4 — Last updated October 22, 2026)
This Agreement is between The Net Building Company, a business of Hyde Funding Inc. ("Provider"), and the business named on this order ("Client").
1. Services. Provider will deliver the services listed on this order (the "Services"). Provider will build and launch the Client website and provide the other listed services on an ongoing monthly basis.
2. Term. This Agreement is month-to-month. It begins when Client accepts it and continues until either party cancels with written notice (email is fine). Cancellation takes effect at the end of the current paid month. No long-term contract.
3. Fees. Client agrees to the monthly fee and any one-time setup fee shown on this order. The first month is free; the first monthly charge occurs 30 days after signup and then monthly on that date. Yearly items (such as a domain name) are charged when ordered and renew automatically each year until cancelled. Fees are billed automatically to the payment method Client provides. The Nextdoor alert bot add-on (when ordered separately on the Starter or Growth plan) is $79/mo plus a one-time $125 setup fee, charged once at signup; it is included in the Pro plan at no extra charge. Advertising spend (e.g. Google Local Services Ads) is billed separately by the ad platform and is not included.
4. Client responsibilities. Client will provide accurate business information, logos, photos, licenses and timely approvals, and confirms it has rights to any content it provides.
5. Ownership. Client owns its website, its domain name (which is registered for Client), and Client's own content (logos, photos, text and other materials Client supplies). Provider hosts and maintains the website while Client's account is active and paid; on cancellation (or non-payment) the website is taken offline. To receive the website files, Client must request the transfer in writing (email is fine) within 30 days of cancellation; after 30 days, Provider may delete the website files and hosting. Domain transfer: after cancellation, Client has 90 days to request and complete transfer of the domain to Client's own registrar; Provider will provide the authorization/transfer code once the account is paid in full. After 90 days, Provider may let the domain lapse or release it. Transfers are provided once the account is paid in full.
6. Hosting and third parties. Services may rely on third-party platforms (hosting, Google, Yelp, Nextdoor, phone/SMS providers). Provider is not responsible for their outages, decisions or policy changes.
7. No guarantee of results. Provider does not guarantee specific rankings, reviews, call volume, leads or revenue.
8. Indemnification and hold harmless. Client will defend, indemnify and hold harmless Provider, Hyde Funding Inc., and their officers, employees and contractors from and against any claims, losses, damages, fines, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Client's business, products, services or work performed for Client's customers; (b) any content, information, images or materials Client provides; (c) Client's use of the website, listings, ads, reviews or other marketing; (d) Client's use of or conduct on third-party platforms (including Google, Yelp, Nextdoor, phone/SMS and advertising providers); or (e) Client's breach of this Agreement or violation of law.
9. Limitation of liability. To the fullest extent permitted by law, Provider's and Hyde Funding Inc.'s total liability arising out of or related to this Agreement is limited to the fees Client actually paid in the 3 months before the claim arose. Neither party is liable for indirect, incidental, special, consequential or lost-profit damages.
10. Payments, disputed charges and chargebacks. Client agrees not to dispute or charge back valid charges made under this Agreement and to contact Provider first about any billing question. If a charge is disputed, reversed or charged back, Provider may immediately suspend or take down the Services, including the website, listings and phone services, until the matter is resolved. Client will pay the disputed amount plus a $25 fee per dispute, and any collection costs and reasonable attorneys' fees, and Provider may pursue collection. Client authorizes Provider to re-charge the payment method on file (or any other payment method Client has provided) for amounts owed, including disputed or reversed amounts and these fees.
11. Dispute resolution. Any dispute arising out of or related to this Agreement will be resolved by final and binding arbitration in San Diego County, California, administered by the American Arbitration Association under its Commercial Arbitration Rules, or by JAMS under its applicable rules. Disputes will be resolved only on an individual basis; no class, collective or representative actions or arbitrations are permitted. Either party may instead bring an individual claim in small claims court if it qualifies. Judgment on an arbitration award may be entered in any court with jurisdiction. The prevailing party is entitled to recover its reasonable attorneys' fees and costs.
12. Governing law. This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules.
13. General. This Agreement and the order are the entire agreement between the parties about the Services. If any part is unenforceable, the rest remains in effect. Provider may update these terms for future orders; changes do not affect an order already signed.
